ARTICLES OF INCORPORATION AND BY-LAWS OF THE

PRESTON COMMUNITY FOOD PANTRY INC.

ARTICLE I                  GENERAL PROVISIONS

Section 1:         FOOD PANTRY NAME

            The name of this organization shall be the Preston Community Food Pantry Inc. herein also referred to as the Preston Community Food Pantry, the Food Pantry, or simply PCFP, and is incorporated in the State of Idaho under registration no. C182688.  The Food Pantry is partially sponsored by the Presbyterian Community Church of Preston, Idaho.

Section 2:         FOOD PANTRY MAILING ADDRESS

            The principal mailing address of Preston Community Food Pantry shall be: P.O. Box 109, Preston, ID 83263-0109; secondarily, the Preston Community Food Pantry will also maintain an internet website identified as www.pcfoodpantry.org.

Section 3:         PHYSICAL LOCATION

            The physical location of the PCFP will be 580 West Oneida, Preston, ID 83263.

Section 4:         RESPONSIBLE STAFF:

              The Preston Community Food Pantry shall be administered through a governing Board of Directors, comprised of 3-8 members.  In addition, several officers elected by the Board of Directors will coordinate activities that are carried out by a cadre of volunteers.

  

ARTICLE II          PURPOSE

The purpose of Preston Community Food Pantry is to:

·         deal directly with issues of poverty and hunger in Preston and Franklin County, Idaho;

·         acquire, store, and distribute food to reduce hunger and poverty within the Preston community and outlying areas of Franklin County, Idaho;

·         identify other financially affordable local food sources;

·         provide local families the opportunity to learn techniques of food preparation and nutrition; and

·         have a commitment to work cooperatively with other community agencies.

 

ARTICLE III               PARTICIPANTS

Section 1:         Participants (clients)

A.                 Participants will be self-declared to have gross monthly incomes below 185% of the U.S. Poverty Income Guidelines.

B.                 Participants shall be able to participate without regard to race, religion, color, sex, marital status, age, national origin, citizenship, or handicap.

 

ARTICLE IV               ORGANIZATION

Section 1:        Board of Directors

A Board of Directors shall be the governing body of the Preston Community Food Pantry and will be responsible for determining the policies and procedures to be followed in executing the activities of the Food Pantry.  The Board shall be comprised of no fewer than 3, nor more than 8, members committed to the purposes and objectives of the PCFP.  The Board of Directors has the authority to fill any vacancies on the Board of Directors as well as elect the officers of the Preston Community Food Pantry.  If activities of any member of the Board of Directors hampers the ability of the Board to fulfill its mission, they may be removed by ¾ vote of the other members of the Board.  Board members will serve a term of 3 years with the option of renewal for successive terms.

Section 2:        Officers:

            Officers will be elected by the Board of Directors for a one-year term and subject to re-election at the pleasure of the Board of Directors.  Offices shall include: 

A.  CHAIRMAN OF THE BOARD:  The Chairman shall be a member of the Board of Directors and preside at all meetings unless alternate arrangements are agreed upon in advance.  The Chairman is responsible for assuring foods are distributed within the guidelines established for the Preston Community Food Pantry. It is the chairman’s responsibility to encourage members to be effective in carrying out their responsibilities and help resolve any conflicts that may arise.

B.  SECRETARY:  The Secretary, or his/her alternate, is expected to attend all meetings of the Board of Directors, take and maintain the minutes of such meetings, and maintain a permanent record of all official actions taken by the Board of Directors.  The Secretary will also assist in maintaining a list of current food inventories as well as important memoranda related to the business of the Preston Community Food Pantry.

C.  TREASURER:  The Treasurer shall see that accurate financial records are kept and report the financial status of the organization to the Board of Directors on a regular basis.  The Treasurer will also be responsible for ordering of new inventories each month.  In addition, the Treasurer will file all necessary and appropriate forms annually with the Internal Revenue Service of the U.S. federal government.

D.   SERVICE COORDINATOR:  The Service Coordinator (Telephone Person) is responsible for notifying board members of the dates, times, and location of official meetings; when the food orders are arriving; and other important information relevant for operation of the food pantry.

E.  ADDITIONAL OFFICES:  Additional offices may be created or deleted and officers appointed as situations require.

 

ARTICLE V                MEETINGS

Unless otherwise arranged, regular business meetings will be held on a monthly basis, typically on the last Monday of the month at 7:00 pm.  All officers and members of the board are expected to attend. A quorum equal to 60% of the current members of the Board of Directors is required to conduct official business.  Conduct of meetings will follow Roberts Rules of Order with agendas typically consisting of:

Reading and/or correcting minutes of the most recent meeting

Treasurer's report

Announcements

Reports of Committees, as appropriate

Discussions of Old Business

Discussions of New Business

Additional meetings may be called as needed provided a quorum (a minimum of 60% of the current board members) is present and a minimum of 3 days prior notice is given to all members.

 

 ARTICLE VI               FISCAL YEAR

For reporting purposes, the official fiscal year of the Preston Community Food Pantry Inc. shall coincide with the calendar year of the United States of America.

 

ARTICLE VII              AMENDMENTS

These by-laws may be repealed, amended, altered or revised by a ¾ majority vote of the Board of Directors of the Preston Community Food Pantry at any scheduled or appropriately called meeting.

 

 

 ARTICLE VIII DISSOLUTION

 

In the event the activities of this organization are no longer needed, or the organization can not function appropriately for any reason.  A majority vote of the then current Board of Directors will affect dissolution of the organization.  Any residual property will be distributed as follows:

             1.  Real property will revert to the City of Preston, Idaho;

             2.  Personal property will revert to the Idaho Food Bank, subject to their interest;

            3.  Unclaimed items of personal property will be sold and the proceeds, along with any residual funds in any and all bank accounts, donated to the Idaho Food Bank or its successor(s).  In the event the Idaho Food Bank no longer exists, and there is no successor agency, residual funds will be donated to a non-profit organization dedicated to humanitarian causes agreed upon by the final Board of Directors.

Said dissolution of the organization shall not become final until all appropriate distribution(s) have been completed and all tangible assets have been liquidated.
